1. 合作範圍 Scope of Cooperation
供(INFINITE)需(設計師)雙方同意建立合作貿易關係，合作內容包括：INFINITE浴室潔具定制產品推廣和銷售、良好的技術支持和服務。
供方 (INFINITE) 與需方 (設計師) 同意建立合作貿易關係。合作內容包括：INFINITE 產品的推廣與銷售、產品技術支援及服務。
2. 名稱和商標 Brand Name and Trademark
供方同意需方可以為了廣告宣傳而使用供方的名稱及商標。例如，製作產品目錄和產品商標。供方同意需方在不損害供方利益和商業形象的前提下對外宣稱為：供方的貿易合作夥伴。但是需方不得以供方名義對外簽約，如果需方不正當使用供方名稱和商標，給供方造成損失和不良影響，需方應當承擔相應責任。
供應商同意買方可將供應商的品牌名稱及商標用於廣告宣傳目的。例如：製作產品目錄及商標。供應商同意買方僅向公眾聲明其為供應商的貿易合作夥伴。
且不得損害供應商的利益及商業形象。然而，買方不得以供應商名義及/或代表供應商簽署任何合約。若買方不當使用供應商的品牌名稱及商標，致使供應商遭受損失及不良影響，買方應承擔相應責任。
3. 保密條款 Confidentiality Clause
Both the supplier and the buyer are obligated to maintain the confidentiality of any internal information obtained and business information related to the trade cooperation between both parties, and guarantee not to disclose or transmit any business information of their cooperation and the other party's internal materials to any third party. This includes, but is not limited to, preferential prices, technical service content, cooperation periods, and cooperation methods of both parties. This confidentiality clause shall remain in effect after the termination or cancellation of this contract for any reason. If either party violates the obligations stipulated in this clause, the other party shall have the right to claim compensation from the violating party.
供應商與買方雙方均有義務對所獲取的內部資訊，以及與雙方貿易合作相關的商業資訊予以保密，並確保供應商與買方的任何商業資訊及內部資訊

4. 合作期限及終止 Cooperation Period and Termination
This Agreement shall be valid for a period of one (1) year from the date of signing by both parties, and shall be automatically extended for equal periods, unless either party declares the termination of this Agreement in writing with 3 months' prior notice. If either party terminates the Agreement without authorization, the other party reserves the right to hold the defaulting party liable for breach of contract.
本合約自雙方簽署之日起生效，有效期為一（1）年，並自動延長相同期限，除非任何一方提前三個月以書面形式通知終止本合約。若一方
擅自終止協議，另一方保留

5. 合作價格 Cooperation Price
The Supplier agrees to provide goods to the Purchaser at a 25% discount off the quotation for sanitary ware products provided by the Supplier during the effective period of the cooperation agreement. The price calculation is based on the Supplier's standard retail price list in effect in Hong Kong. This price may be adjusted due to fluctuations in material prices, and all prices are subject to the final quotation.
供方同意在合作協議有效期內，向需方提供 INFINITE 衛浴產品 25% 的折扣優惠。價格計算依據為供方在香港有效的標準零售價格表。價格可能會因原材料價格變動而有所調整，並以供方的報價為準。
6. 付款條件 Payment Terms
The Supplier will arrange for the production of the order upon receiving the full payment from the Buyer.

7. 保固條款 Warranty
The supplier will provide a two-year structural warranty for the sold sanitary ware series products. This quality guarantee only applies to structural issues caused during the manufacturing process of general household bathroom products. The validity period is within two years from the invoice date of the first purchase of the product. Product warranty does not apply to the following situations: normal dimensional variations in production, discrepancies between the product and display items due to the natural characteristics of materials, damage caused by improper installation, use, storage, or accidents, as well as normal wear and tear, and products that have been disassembled, modified, or moved by the customer.
供應商將為所售衛浴產品提供兩年結構保養。此品質保證僅適用於因製造工藝導致結構問題的衛浴產品。有效期為自首次購買該產品的發票日期起兩年內。產品保養不適用於以下情況：生產中的正常尺寸偏差、因材料自然特性導致的實物與展品差異、因安裝、使用、儲存不當或意外造成的損壞、正常磨損，以及產品已被拆卸、改裝和移動。
8. 其他 Others
The cooperation between the supply and demand sides is non-exclusive; while cooperating with each other, both parties are free to cooperate with other corresponding partners;
